Archway Smart Contract Hackathon Terms

Participation in Archway’s Smart Contract Hackathon (the “Contest”) constitutes Participant’s full and unconditional agreement to and acceptance of these Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon being compliant with these Rules and fulfilling all other requirements set forth herein or communicated by Archway from time to time.

  1. Sponsor

The Contest is sponsored by Archway Services Ltd., located at Floor 4, Banco Popular Building, Road Town, Tortola, British Virgin Islands, VG1110.

  1. Scope of the Contest

The Contest  consists of building a creative and innovative smart contract that runs on the Archway network (“Submitted Material”) and which provides a functional use case for Archway’s Value Capture model.

2. Eligibility

The Contest is open to anyone who is at least eighteen (18) years old at the time of entry and who does not reside or is located in the U.S or any of the jurisdictions listed in Exhibit A (“Participant”).   Employees of the Sponsor and its subcontractors involved in the Contest and their respective relatives are excluded from participation.

3Winner Notification

The potential winners will be notified by email. Each potential winner will be required to complete, electronically sign and submit a Declaration of Compliance within five (5) days of the date notice or attempted notice is sent, in order to claim his/her prize. If a potential winner cannot be contacted, or fails to submit the Declaration of Compliance within the required time period (if applicable), or prize is returned as undeliverable, potential winner forfeits the prize. Potential winners must continue to comply with all terms and conditions of these Rules, and winning is contingent upon fulfilling all requirements. In the event that a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner determined by submission receiving the next highest vote count from the community.

4. KYC

All potential winners must provide Archway with their personal information to carry out a Know Your Customer (“KYC”) screening to ensure the eligibility requirements are met.  KYC information includes but is not limited to: W9 or W8-BEN forms, ID information, including name, photo, email address, and crypto wallet address.  Archway is committed to protecting and respecting your privacy. Any access and use of your personal information will be subject to applicable law and our Privacy Policy.

5. Payment

Payment of the prizes shall be made in ARCH tokens not to exceed 50,000 ARCH, subject to a 12-months lock-up. The Prizes will be distributed after Archway’s mainnet launch on the dates set forth in the notification form described in Section 3.

6. Publicity

Participant, where awarded a Prize,  consents to the use of his/her name, Submitted Material and statements attributed to Participant (if true) for advertising and promotional purposes, including without limitation, inclusion in Sponsor’s newsletters, Sponsor’s website, and any of the Sponsor’s social media channels without additional compensation.

7. Disclaimer

ARCH Tokens will be offered only outside of the United States to non-U.S. persons, pursuant to the provisions of Regulation S of the U.S. Securities Act of 1933, as amended. ARCH Tokens will not be registered under the Securities Act, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.

IN NO EVENT WILL SPONSOR BE LIABLE TO YOU FOR ANY DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION IN THE HACKATHON, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT SPONSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.
